**A Transaction Advisor to conduct legal and regulatory feasibility study, review and update existing feasibility studies, prepare the procurement documents for the private sector partner, and support commercial and financial close activities for the Richards Bay Dry Bulk Terminal Project.** This RFP seeks multi-disciplinary professional services (legal, regulatory, financial, environmental, technical, and economic) to structure, procure and close the RBDBT PSP transaction. Suitable bidders are firms with postgrad qualifications, relevant transport/port PPP experience, and capacity to staff a lead expert team. SA bidders must be CSD-registered and tax compliant with BBBEE requirements; foreign bidders may face additional DoT/NT/DBSA conditions. (RFP0115.2026)

#### Requirements
- Lead expert team with defined roles and minimum experience: Project Director (15+ years, relevant field), Technical Expert (PE registration, 15+ years in PPP transport), Financial Expert (postgrad in finance/commerce), Legal Expert (Commercial Law degree, admitted), Economic Expert (CBA/quantitative background), Environmental/ESG Expert (10+ years; professional registration).
- Demonstrated project experience on large PPP transport/infrastructure across RBDBT scope; CVs and project lists per Annexure B.
- Mandatory documentation: two-folder submission format, CVs, organogram, and proof of authority; BBBEE certificate or sworn affidavit; CSD registration and tax compliance; separate TCS/PIN where applicable.
- Compliance with tax, BBBEE, CSD, and other regulatory requirements; adherence to procurement and anti-corruption rules; 120-day bid validity.
- Annexures and forms: Annexure A (pricing), SBDs, and other compulsory documents per Part C/D (as listed in the RFP).
