## Summary

#### Overview
**This RFP seeks to appoint an additional panel of transaction advisory service providers (lead advisor or consortium) to join the existing panel to provide Transaction Advisory Services for the remaining 36 months.** Bid is open to entities with energy-sector mergers & acquisitions, financial, legal, technical, HSSE, and socio-economic advisory capabilities, capable of supporting due diligence, valuations, deal structuring, negotiations, and capital raising.

#### Requirements
- Mandatory leads: project leads must submit CVs and proof of professional registration for each stream (Finance: CA(SA)/CFA/ACCA/CIMA/CGMA; Legal: CCASA/Legal Practice Council/SA Bar; Engineering/Technical: ECSA where applicable). (Annexure B)
- Demonstrated energy-industry M&A experience with reference letters (minimum five within last 5 years; CVs for the proposed leads and team; organograms showing roles). (Annexure B)
- comprehensive methodology/approach covering due diligence, valuations, deal structuring, negotiations, and outputs across technical, financial, legal, HSSE, and ESG streams. (Annexure B)
- Skills transfer plan detailing knowledge transfer methods. (Annexure B)
- Tax and supplier compliance: valid SARS Tax Compliance Status PIN or CSD number; BBBEE affidavit/certificate; SARS tax PINs per party in consortia/JVs; returnable documents to include SBD1, SBD4, SBD6.1. (SBD1, SBD4)
- Compliance with bidding and governance: confidentiality, due diligence access, and post-tender negotiations rights reserved by CEF; no late or non-compliant submissions. (Part 1)
